User Terms (B2C)
These User Terms (the "User Terms") govern the relationship between Konatamo LLC ("satooB", "we", "us", "our") and any individual who accesses the Service to participate in loyalty programs administered by participating Merchants ("End-User", "you", "your"). They are an addendum to the Master Terms of Service (the "Master Terms") and do not replace them.
In the event of conflict between these User Terms and the Master Terms, these User Terms prevail with respect to the End-User relationship. Capitalised terms not defined here have the meaning given to them in the Master Terms.
1. Incorporation by reference
The Master Terms, the Acceptable Use Policy, the Privacy Policy, the Cookie Policy, and the Refund Policy are each incorporated into these User Terms by reference and form an integral part of the agreement between you and Konatamo LLC.
2. Eligibility
In addition to the eligibility requirements set out in Section 3 of the Master Terms, to use the Service as an End-User you must:
- be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, whichever is greater;
- have the legal capacity to enter into binding contracts under your local law;
- not be a person, or a representative of an entity, listed on any trade sanctions list maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"), the European Union, the United Kingdom, or the United Nations;
- not be located in, or be a resident of, any country or territory subject to comprehensive trade sanctions imposed by the United States.
The Service is intended for use by individual consumers in their personal capacity. Use of the Service by businesses, automated agents, or as part of any commercial reselling activity is prohibited and is governed instead by the Partner Terms.
3. Account creation & verification
To create an account you provide your email address and confirm it via a one-time passcode sent by email. We may, at our discretion or where required by applicable law, perform additional verifications, including:
- Phone-based one-time passcode verification when you first redeem satoPOINTS for a Voucher, in order to mitigate self-dealing fraud and bot abuse;
- Account-level fraud signals generated by our anti-abuse systems and our subprocessors;
- Periodic re-verification if your account presents suspicious activity, abnormal redemption patterns, or signs of account takeover.
You must keep your account information accurate. You are responsible for the confidentiality of your credentials and for all activity that occurs under your account.
4. The legal nature of satoPOINTS
You acknowledge and agree that satoPOINTS are internal accounting units used solely to track participation in Merchant-administered loyalty programs. satoPOINTS:
- have no monetary value;
- are not legal tender;
- are not redeemable for cash or for any fiat currency;
- are not redeemable for any cryptocurrency or digital asset;
- are not transferable between consumer end-users for value;
- may be redeemed by you solely for fiat-denominated discount Vouchers issued by, and honoured at, participating Merchants;
- do not constitute a security, a deposit, a stored-value instrument, electronic money, or money transmission under any applicable law.
The award of satoPOINTS by a Merchant is a marketing benefit granted to you by that Merchant in connection with its loyalty program. satooB administers the technical infrastructure that records the award and the redemption, but does not itself owe you any sum of money or any obligation to redeem satoPOINTS for cash, currency, or any digital asset.
5. Voucher rules
5.1 Voucher denomination
Vouchers are issued in fiat currency (EUR, USD, CAD, GBP, or such other currencies as we may support from time to time) and are subject to a per-Voucher cap of ten (10) units of the relevant currency. The number of satoPOINTS required to issue a Voucher of a given denomination is calculated at issuance using a published reference rate and may include a small operating margin to cover platform operating costs.
5.2 Frequency
Vouchers are subject to platform-level fair-use limits, including, by default, a limit of one (1) Voucher per Merchant per calendar day per End-User. Individual Merchants may configure stricter rules within their loyalty program. We may adjust the platform-level limits to address abuse, with reasonable notice for any restriction that adversely affects users in good standing.
5.3 Expiry
Physical Vouchers (presented in person at a Merchant's point of sale) expire fifteen (15) minutes after issuance. The expiry timer protects against fraud and ensures the Voucher reflects the current state of your satoPOINTS balance at the moment of redemption. If a physical Voucher expires before redemption, the corresponding satoPOINTS are automatically refunded to your satoPOINTS balance.
E-commerce Vouchers (used at a Merchant's online checkout) do not expire by default but may be voided if the underlying loyalty program is terminated, if the Merchant ceases to honour them, or in the cases set out in the Refund Policy.
5.4 Non-transferable & non-cashable
Vouchers are personal to the End-User to whom they are issued. They:
- cannot be sold, exchanged, gifted, or otherwise transferred to another person;
- cannot be redeemed for cash, currency, or any digital asset;
- can only be presented in person or used at the merchant URL configured in the Service.
Any attempt to circumvent these rules (for example, listing Vouchers on a marketplace) constitutes a material breach of these User Terms and may result in account termination under Section 8.
6. EU / UK consumer rights
If you are a consumer resident in the European Union or the United Kingdom, the following provisions apply.
Right of withdrawal — applicability. Under EU Directive 2011/83/EU on consumer rights, the fourteen-day right of withdrawal does not apply to digital content delivered immediately after you acknowledge waiving your withdrawal right. Each time you redeem satoPOINTS for a Voucher, you expressly request that the Voucher be issued immediately and you acknowledge that you lose your fourteen-day right of withdrawal in respect of that issuance. The wording of the acknowledgement is presented to you at each issuance and is recorded in your account history.
Refunds. Notwithstanding the preceding paragraph, refunds remain available under the conditions set out in the Refund Policy, including for: technical failures, expired Vouchers, Merchant insolvency, and Merchant-initiated programme cancellation.
Mandatory consumer law. Nothing in these User Terms or in the Master Terms deprives you of the protection afforded to you by mandatory provisions of the consumer-protection law of your country of residence.
7. Acceptable use
Your use of the Service is subject to the Acceptable Use Policy. In particular, you agree not to:
- impersonate any person, misrepresent your identity, or use a false address or false payment information;
- create or operate multiple accounts to circumvent platform limits or to game loyalty programs;
- use any automated means (bot, script, scraper, headless browser) to interact with the Service except as expressly permitted in writing;
- interfere with the proper functioning of the Service, including by submitting falsified location data, fabricated answers, or fabricated proofs of purchase;
- interfere with another End-User's account, Voucher, or satoPOINTS balance, or attempt to access another End-User's data;
- use the Service in connection with any of the prohibited activities listed in the Acceptable Use Policy.
Violation of this Section 7 constitutes a material breach of these User Terms and may result in immediate suspension or termination of your account, forfeiture of unredeemed satoPOINTS, and reporting to relevant authorities where applicable.
8. Suspension & termination
You may stop using the Service and close your account at any time from your account settings. Upon closure:
- unredeemed satoPOINTS are forfeited, except where retained for the purpose of resolving an open complaint or refund;
- unredeemed Vouchers issued to you in good standing remain valid for the duration of their respective expiry, where applicable;
- your data is deleted or anonymised in accordance with the Privacy Policy, except where retention is required by law.
We may suspend or terminate your account immediately, without notice, where we have a reasonable basis to believe that you have materially breached these User Terms, the AUP, or the Master Terms, or that your continued use of the Service creates legal or operational risk.
9. Privacy & data protection
Our processing of your personal data is described in the Privacy Policy. Cookie usage is described in the Cookie Policy. The Privacy Policy explains, among other things: the categories of personal data we collect, the purposes for which we use it, the lawful bases on which we rely, our retention periods, and your rights as a data subject (including, in the European Union, your rights under the GDPR).
10. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE USER TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND.
WITHOUT LIMITING THE FOREGOING:
- No warranty of monetary value. satoPOINTS have no monetary value. We make no representation that they will be redeemable in the future, that any specific Merchant will continue to offer Vouchers, or that any specific exchange rate, operating margin, or denomination will remain available.
- No investment, no speculation. satoPOINTS are not an investment product, are not designed to retain or appreciate in value, and must not be acquired, held, or used for speculative purposes. We do not guarantee any economic outcome from your participation in any loyalty program.
- Merchant programs. Loyalty programs are designed and operated by individual Merchants. We do not control the rules, the rewards, or the offers made available by Merchants, and we do not guarantee that any specific reward will be available at any specific time.
Some jurisdictions do not allow the disclaimer of certain warranties. To that extent, the foregoing disclaimers may not apply to you.
11. Limitation of liability (B2C-adjusted)
The limitation of liability framework of Section 11 of the Master Terms applies, with the following adjustments for the End-User relationship:
- Our aggregate liability to you arising out of or related to these User Terms or the Service will not exceed the higher of (i) the equivalent of one hundred (100) units in EUR, USD, CAD, or GBP (whichever applies to your country of residence), and (ii) the documented monetary loss directly suffered by you and that we have agreed in writing to compensate.
- The carve-outs of Section 11 of the Master Terms (gross negligence, wilful misconduct, fraud, indemnification obligations, mandatory law) apply equally here. In particular, nothing in these User Terms limits or excludes our liability for death, personal injury caused by our negligence, or fraudulent misrepresentation.
12. Modifications
We may modify these User Terms from time to time. If a modification is material — that is, if it would increase your obligations, reduce your rights, or change the rules concerning satoPOINTS or Vouchers in a non-trivial way — we will provide at least thirty (30) days' notice before the modification takes effect, by email to the address associated with your account or through a prominent notice on the Platform.
For non-material modifications, we will publish the updated User Terms with a revised "Last updated" date. Your continued use of the Service after the effective date of any modification constitutes acceptance of the updated User Terms.
If you do not agree to a material modification, you may close your account before the effective date by following the steps in Section 8, in which case the prior version of the User Terms will continue to govern any obligations that survive termination.
13. Governing law & dispute resolution
13.1 For End-Users in the European Union and the United Kingdom
The User Terms and the Master Terms are governed by the law of the European Union member state in which you reside or by the law of the United Kingdom, as applicable. Disputes are submitted to the courts of competent jurisdiction in your country of residence. The mandatory consumer-protection laws of your country of residence apply.
The European Commission also operates an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not contractually bound to resolve disputes through that platform but list it for completeness as required by EU Regulation 524/2013.
13.2 For End-Users in the United States and other jurisdictions
For End-Users not covered by Section 13.1, the User Terms and the Master Terms are governed by and construed under the laws of the State of New Mexico, USA, without regard to its conflict-of-laws principles. Disputes are resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, with the seat of arbitration in Albuquerque, New Mexico, and English as the language of the arbitration. The class action waiver of Section 14.1 of the Master Terms applies.
